LICENSE AGREEMENT

1.         ACCESS RIGHTS.  LES grants you a non-exclusive right to access the Materials for that period of time indicated at the time the Materials were downloaded.  If no time period was indicated, then you may access the Materials for an unlimited period of time. 

2.         LIMITATIONS ON USE.  The Materials are for your personal use and enjoyment only, and may not be shared, transferred, loaned, copied, republished, uploaded or distributed. You may not use the Materials for commercial purposes.  You may not alter or modify the Materials in any way.

3.         OWNERSHIP.  The Materials are licensed, not sold.  All right, title and interest in and to the Materials, as well as associated intellectual property rights, are and shall remain with LES and/or the speakers appearing in the Materials.

4.         EDUCATIONAL PURPOSES; NO ENDORSEMENT.  The Materials are provided solely for educational purposes. You acknowledge that LES and the speakers appearing in the Materials are not engaged in rendering legal, accounting or other professional advice or services. LES does not endorse any of the viewpoints contained in the Materials.

5.         DISCLAIMER.  THE MATERIALS ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. FURTHERMORE, LES DOES NOT WARRANT THAT THE MATERIALS WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE MATERIALS ARE VIRUS FREE.  LES DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE CORRECTNESS, ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS OR USEFULNESS OF THE MATERIALS.  SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF EXPRESS OR IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. 

6.         LIMITATION OF LIABILITY.  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LES BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE, RELIANCE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF THIS LICENSE OR USE OF THE MATERIALS, EVEN IN THE EVENT OF FAULT, TORT, BREACH OF CONTRACT OR WARRANTY, EVEN IF LES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN ANY CASE, LES' ENTIRE LIABILITY UNDER ANY PROVISION OF THIS LICENSE OR RESULTING FROM USE OF (OR INABILITY TO USE) THE MATERIALS SHALL BE LIMITED TO DIRECT DAMAGES AND WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO LES TO ACCESS THE MATERIALS, OR US $100, WHICHEVER IS GREATER.  SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. 

7.         TERMINATION.  This License may be terminated by LES upon your breach of any term or condition herein.  Upon termination by LES, you must destroy your copy of the Materials.

8.         GENERAL.  This License will be governed in accordance with the laws of Virginia. You hereby consent to jurisdiction of the state and federal courts of Virginia.  If any provision of this License is deemed invalid by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permitted and the remainder will remain in full force.   This License represents the final, complete and exclusive statement of the agreement between the parties with respect to the subject matter hereof.
